By accessing our website and/or purchasing our products, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or purchase our products.

3. Product Information

3.2. Product Availability All products are subject to availability. We reserve the right to discontinue any product at any time.
3.3. Prices All prices are displayed in Euros (EUR) and include applicable Value Added Tax (VAT) for purchases within the European Union. For purchases outside the EU, additional customs duties, taxes, and fees may apply, which are the responsibility of the customer.
4. Orders and Contract Formation
4.1. Order Process When you place an order, you will receive an automatic acknowledgment email. This does not constitute acceptance of your order.
4.2. Contract Formation A contract between you and us is formed only when we send you an order confirmation email confirming that the products have been dispatched.
4.3. Right to Refuse Orders We reserve the right to refuse or cancel any order for any reason, including but not limited to:
- Product unavailability
- Errors in the price or product description
- Errors in your order
- Suspected fraudulent activity
4.4. Payment We accept various payment methods as indicated on our website. By providing payment information, you represent and warrant that you have the legal right to use the payment method you provide.
5. Delivery
5.1. Delivery Times Delivery times are estimates only and not guaranteed. We will make reasonable efforts to deliver products within the estimated timeframe.
5.2. Delivery Risks Risk of loss or damage to products passes to you upon delivery.
5.3. Inspection You must inspect the products upon delivery and notify us of any defects or damage within 48 hours of receipt.

6.1. Withdrawal Period In accordance with EU Directive 2011/83/EU on Consumer Rights, you have the right to withdraw from the contract within 14 days from the day you or a third party indicated by you (other than the carrier) takes physical possession of the products.
6.2. Withdrawal Procedure To exercise your right of withdrawal, you must inform us of your decision by sending an unequivocal statement by email to info@cellsano.com or by mail to our registered address.
6.3. Return of Products You must return the products without undue delay and, in any event, not later than 14 days from the day you communicated your withdrawal to us. The products must be returned in their original condition and packaging.
6.4. Refund We will reimburse all payments received from you, including the costs of delivery (except for the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than 14 days from the day we are informed about your decision to withdraw from the contract.
6.5. Exclusions The right of withdrawal does not apply to:
- Sealed products that are not suitable for return due to health protection or hygiene reasons, if unsealed after delivery
- Products made to your specifications or clearly personalized
- Products which are liable to deteriorate or expire rapidly
7. Warranties and Liability
7.1. Legal Warranty All products are covered by the legal warranty of conformity as provided by Luxembourg law and Directive 1999/44/EC of the European Parliament and of the Council, which guarantees that products are in conformity with the contract for a period of two years from delivery.
7.2. Limitation of Liability To the fullest extent permitted by applicable law, we shall not be liable for:
- Any indirect, incidental, special, or consequential damages
- Any loss of income, profits, business, data, or goodwill
- Any claims related to the use or misuse of our products contrary to instructions
7.3. Maximum Liability Our maximum liability to you shall not exceed the purchase price of the products that gave rise to the claim.
7.4. Force Majeure We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events, circumstances, or causes beyond our reasonable control.
8. Intellectual Property
8.1. Ownership All intellectual property rights in our website and products, including but not limited to trademarks, logos, designs, text, graphics, and software, are owned by or licensed to us.

10.3. Online Dispute Resolution In accordance with EU Regulation No. 524/2013, consumers resident in the European Union may also access the Online Dispute Resolution platform provided by the European Commission at https://ec.europa.eu/consumers/odr/.
10.4. Consumer Protection These Terms do not affect your statutory rights as a consumer under applicable law.
